Effective date: November 2, 2026
1. Who we are
Run And Scale is a service of Pure Source, LLC, a New York limited liability company (“we,” “us”). These terms apply to every purchase made through our website or our SuiteDash checkout forms, and to any written quote that refers to them. By checking out, or by accepting a quote, you agree to them on behalf of your business. Our services are for businesses, not for personal or household use.
Important: Section 12 requires that disputes be resolved by binding individual arbitration, not in court. It waives your right to a jury trial and to take part in a class action. Please read it carefully.
2. What you’re buying
Each plan, setup, and service has a defined scope, described on our pricing and setup services pages at the time you buy, or in your written quote. Work outside that scope is quoted separately, and we start it only after you approve the quote.
3. Monthly plans
- Monthly plans are a 12-month agreement, paid by card or bank on autopay.
- You pay a $399 setup fee at checkout. Monthly payments start as stated in your checkout and continue for 12 payments.
- At least 30 days before your 12th payment, we’ll email you to confirm what happens next. After 12 payments, the all-in plan continues month to month at $149/month with support, or $99/month for the SuiteDash license only if you tell us you want that instead. The bring-your-own plan continues month to month at its current rate.
- To stop at the end of the 12 months, email us before your 12th payment. After the 12 months, you can cancel any time by email; cancellation takes effect at the end of the month you’ve already paid for.
- Support covers up to 2 hours of changes a month. Unused hours don’t roll over. Larger work is quoted at our à la carte rates.
4. Setup fees and refunds
- If you change your mind before your kickoff call takes place, email us and we’ll refund your setup fee or one-time purchase in full.
- Once kickoff starts, the $399 setup fee and one-time purchases are non-refundable.
- Monthly payments already made are non-refundable, and we don’t prorate partial months.
5. Leaving a plan early
You can end a monthly plan before 12 payments by emailing us. Your plan ends at the end of the month you’ve already paid for, and we then charge the lesser of the remaining balance or $600 to your payment method on file. Section 8 explains what happens to your SuiteDash account.
6. One-time purchases
- The One-time setup includes 14 days of after-care. Ongoing support is available separately as the Support Plan.
- The Rescue Audit fee is credited in full as your setup fee if you start a plan within 14 days of the audit.
- À la carte services each cover the single deliverable described.
- The Support Plan is billed monthly and can be cancelled any time by email. Cancellation takes effect at the end of the month you’ve already paid for.
7. Payments
- Prices are in US dollars and don’t include any sales tax that may apply.
- If a payment fails, we’ll let you know by email. If it’s still unpaid 14 days later, we may pause work and support until it’s paid. On the all-in plan, we may suspend the SuiteDash account after 30 days of non-payment, with at least 7 days’ notice by email.
8. Your SuiteDash account and your data
- On the all-in plan, your SuiteDash Pinnacle license is provided through our account with SuiteDash for as long as your plan is active. When the plan ends for any reason, the account stays active through the last month you’ve paid for. You then have 30 days to move it to your own SuiteDash license, billed to you directly by SuiteDash, or to export your data. After those 30 days, we may deactivate the account and delete its data.
- On other plans and services, you keep your own SuiteDash license and grant us the access needed to do the work.
- Your data is yours: export it any time, or move the account to your own SuiteDash billing.
- You own your configuration and content. We keep the templates, methods, and know-how we use across clients, and you may use whatever of them we build into your account for as long as you use that account.
- SuiteDash’s own terms of service also apply to your use of SuiteDash. SuiteDash is a separate company: its features, availability, and pricing are outside our control.
9. What we need from you
- Timely information, decisions, and approvals, and a main contact who can make them.
- The account access we need, granted through your own user invites rather than shared passwords.
- Accurate information about your business, your clients, and the workflows you want built.
- Responsibility for the content you and your clients put in the portal, and for having the right to use it.
Our timelines assume prompt replies. If we’re waiting on you, the schedule moves by at least the same amount of time. If a project is paused on your side for more than 30 days, we may close it as delivered and quote any remaining work separately.
10. Confidentiality and security
- We treat your business information and your clients’ information as confidential. We use it only to do the work, and share it only with our staff and contractors who need it to do that work and who are bound by confidentiality obligations.
- We work inside your SuiteDash account wherever possible, protect our own accounts with multi-factor authentication, and delete any working copies of your data when the work they were made for is done.
- Please don’t send us full Social Security numbers, bank account numbers, or similar sensitive data by email. If we need any, we’ll ask you to upload it through your portal.
- If we learn of a security incident affecting your data while it’s in our care, we’ll tell you promptly.
- You remain responsible for your own legal, regulatory, and professional obligations, including any data security rules that apply to your business. We help configure software; we don’t give legal, tax, accounting, or compliance advice.
11. Warranties and limitation of liability
- We’ll do the work in a professional and workmanlike manner. If a deliverable doesn’t match the agreed scope, tell us within 30 days of delivery and we’ll fix it at no charge. If we can’t, we’ll refund what you paid for that deliverable. This is your sole remedy for defective work.
- Apart from that, our services are provided “as is.” To the extent the law allows, we disclaim all other warranties, including implied warranties of merchantability and fitness for a particular purpose. We don’t guarantee any particular business result, and we aren’t responsible for SuiteDash outages, changes, or errors.
- Neither of us is liable to the other for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data, even if warned they were possible.
- Our total liability for any claim relating to these terms or our services is limited to the amount you paid us in the 6 months before the claim arose.
- These limits don’t apply to your obligation to pay for services, or to liability that can’t be limited by law.
- You’ll defend and indemnify us against third-party claims arising from content or data you or your clients put in the portal, or from your use of the system in violation of the law.
- Neither of us is responsible for delays caused by events beyond our reasonable control, such as outages of third-party services, natural disasters, or government action.
12. Governing law and dispute resolution by arbitration
- Governing law. These terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules, except that the Federal Arbitration Act (9 U.S.C. § 1 and following) governs the interpretation and enforcement of this Section 12.
- Try to resolve it first. Before starting an arbitration, the party with the dispute must send the other a written description of it by email, and we’ll both try in good faith to resolve it for at least 30 days.
- Binding arbitration. Any controversy or claim arising out of or relating to these terms or our services, or the breach of them, that isn’t resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect (available at adr.org), and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
- Arbitrator and location. The arbitration will be heard by a single arbitrator. It will take place in the State of New York, in the county where Pure Source, LLC has its principal office, unless we both agree otherwise. Hearings may be held by video conference, and claims under $25,000 may be decided on written submissions alone if either of us asks.
- Who decides. The arbitrator decides all questions about whether a dispute must be arbitrated, including the scope, validity, and enforceability of this Section 12, except as stated in the class action waiver below.
- Fees and costs. Filing, administrative, and arbitrator fees are paid as the AAA’s rules provide. Each of us pays our own attorneys’ fees, unless the arbitrator awards fees where the law or these terms allow it.
- Confidentiality. The arbitration and any award are confidential, except as needed to enforce the award or as required by law.
- Exceptions. Either of us may bring an individual claim in small-claims court if it qualifies and stays there. Either of us may also ask a court for a temporary injunction to protect confidential information or intellectual property while an arbitration is pending.
- Jury trial and class action waiver. You and we each waive the right to a trial by jury. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding, and the arbitrator may not consolidate claims or preside over any form of class or representative proceeding. If this waiver is found unenforceable for a particular claim, that claim must be decided in the state or federal courts located in New York, not in arbitration, and the rest of this Section 12 still applies.
- Court proceedings. For any matter this Section 12 allows to go to court, we both agree to the jurisdiction of the state and federal courts located in New York.
- Survival. This Section 12 continues to apply after your plan or purchase ends.
13. Changes to these terms
We may update these terms from time to time. We’ll post the new version here with a new effective date, and email active clients at least 30 days before any material change takes effect. Changes never alter the price or term of a plan you’ve already bought, and changes to Section 12 don’t apply to a dispute we already know about before the change takes effect.
14. General
- These terms, your checkout form, and any written quote are the whole agreement between us about your purchase. If they conflict, the written quote wins, then these terms.
- We’re an independent contractor. Nothing in these terms creates a partnership, employment, or agency relationship.
- Notices under these terms may be given by email: from us to your main contact, and from you to the address below.
- If any part of these terms can’t be enforced, the rest still applies. Not enforcing a term right away doesn’t waive it.
- Neither of us may transfer this agreement without the other’s consent, except to a successor that takes over the business.
